    • We advise one of the leading worldwide service providers in the hotel procurement industry during the establishment of a joint venture with its business partner, including the drafting and negotiating of a shareholder agreement sui generis.
    • We provide comprehensive legal advice to a German company operating an e-shop with electronic appliances, at the establishment of a joint venture with its Slovak partner, including the corresponding tax structuring.
    • We advised one of Europe's leading logistics companies on the sale of its stake in its Slovak subsidiary, including comprehensive due diligence and the assessment of various tax issues.
    • We provided legal services to a Slovak energy distribution company at the spinning-off of one of its divisions.
    • We further advise a major filter and paper producing company on the restructuring of its Slovak subsidiary and on the establishment of a joint venture with a new partner.

  • Real Estate and construction

    • We advise a Slovak private equity group at the acquisition and development of land for the extraction and production of quality mineral water, including related matters.
    • We advised a joint-venture of a renowned German and Austrian construction company regarding real estate and construction matters, including the representation in court proceedings and arbitrations before the Vienna International Arbitral Centre.
    • We further advise the owner of a large office and retail building in Bratislava on various aspects of real estate law and lease matters, including the preparation of sample lease agreements and representation in court proceedings involving amounts in millions.
    • We have advised on a long-term basis one of the largest Austrian wood processing company on its business activities in Slovakia, including the purchase and sale of forest land, the establishment of joint-ventures with local partners and representation in legal disputes and tax matters.
    • We provide comprehensive legal services to a Slovak company in the field of the construction and operation of large billboards (bigboards) regarding real estate and construction matters, including the representation in legal disputes against competitors.

  • Competition and Anti-trust Law

    • We held a seminar on anti-trust and competition rules for the Slovak affiliate of a renowned international producer of candies.
    • We provided immediate on-site legal consultancy during a “dawn-raid” of the Slovak anti-monopoly authority at the premises of a leading producer of construction materials, including advice on further steps to be taken in this respect.
    • We advised a leading producer of household appliances on its special arrangements with its business partner in Slovakia (which was partly a competitor on the Slovak market) with regard to the valid competition regulations.
    • We further advised a foreign news publisher with the merger clearance necessary to realise a share exchange with a competitor.
    • We rendered legal advice to a large German producer of machine components in a dispute with its Slovak partner regarding business activities on the Slovak market.

  • Banking, Insurance and Securities

    • For a Slovak Private Equity group we establish a company with a financial broker licence, including the representation in licencing proceedings and the structuring of contracts with business partners.
    • We provided advice to a known Slovak bank regarding the enforcement of indemnification claims against a former business partner, including the assessment of aspects linked to the law of Liechtenstein.
    • We advised a Slovak company in a major dispute against a renowned Slovak bank regarding the breach of the bank´s account administration duties.
    • We prepared new sample credit documentation for a State institution established for the support of housing development.
    • We advised a renowned international insurance company at the assessment of the duty to pay an insurance premium in millions due to an incident abroad.
    • We rendered legal advice to a local insurer regarding its contractual relations with sales agents and representatives, including licensing issues.

  • Industrial Property (IP), IT

    • We advise the Swiss Embassy in Slovakia in disputes regarding the unauthorised use of the Swiss national emblem and denomination.
    • We advised further a joint-venture of a renowned German and Austrian construction company regarding copyright and licensing issues to be resolved at the planned sale of project documentation to a third party.
    • We represented a leading German producer of welding equipment and electrodes during a trademark dispute with one Slovak distribution company, including the filing of a preliminary injunction.
    • We provided legal advice to a renowned Italian producer of kitchen appliances during a domain dispute with an unauthorised local distribution company.
    • We prepared sample licensing and end-user agreements for a Slovak software design company.

  • Labour Law

    • We advise a major filter and paper producing company on labour law issues, including secondment of employees to foreign entities.
    • We advised an Austrian logistic company at labour law issues and regarding fictional selfemployment.
    • We rendered legal advice to a German production company during an inspection performed by the Slovak authorities at its Slovak subsidiary.
    • We prepared sample employment assignment agreements for the joint-venture of a renowned German and Austrian construction company.
    • We prepared and adjusted sample labour agreements for ordinary employees and top-management at the Slovak subsidiary of a global corporate concern in the chemical sector.

  • Insolvency Law

    • We represent a renowned international bank at the enforcement of its receivables in a cross-border insolvency proceeding against a debtor with temporary residency in Slovakia.
    • We represent further a German bank in an insolvency proceeding against a debtor in the furniture industry.
    • We represented a global pharmaceutical company with the assertion of its claims against a wholesaler during a restructuring proceeding.
    • We provided legal advice to a leading German producer of welding equipment with the enforcement of its claims against a Slovak distribution company in bankruptcy.
    • For the owner of a large office and retail building in Bratislava we assessed the possibilities of challenging the legal actions of one lessee who had caused extensive damage.

  • Energy and the Environment

    • We render comprehensive legal advice to a producer of green energy from biomass, including the purchase of project land, the conclusion of grid connection agreements and the launching of the plant.
    • We advise a Czech constructor of biogas facilities at various issues related to energy law and the law of renewable energy resources.
    • We rendered comprehensive legal advice to a foreign investor regarding a large solar project to be operated by the investor, including due diligence and the drafting and negotiating of the transaction documentation.

    • We advised a large German company in the field of development and production of cardiovascular medical devices at the assertion of its rights during a procurement procedure.
    • We rendered legal advice to a joint-venture of a renowned German and Austrian construction company regarding public procurement aspects during the planned sale of project documentation to a third party.
    • We provided legal advice to a gas distribution company on the application of selected exemptions from public procurement procedures according to Slovak and EU law.
    • We further provided legal services to a petrol station operator in the position of a bidder in a public tender procedure, in particular at the initiation of review proceedings against the public authority.
    • We held seminars for clients on the rights and entitlements of bidders in public tender procedures.

    • We advise a leading Slovak producer of window and door systems extensively at distribution matters, including the redrafting of General Business Terms and the structuring of contractual relationships with entities seated abroad.
    • We represented an Austrian producer of spices in a legal dispute with a Slovak entity which damaged the client’s good name, including the filing of a preliminary injunction and the reporting of an actionable offence.
    • We rendered legal advice to leading German company producing milling and grinding tools during the restructuring of its distribution network in Slovakia.
    • We reviewed general business and distribution terms for a renowned Czech Republic based clothing company.
